Introduction
These Terms of Use ("Terms") govern your access to and use of the Oniq Wallet mobile application and the website at oniqwallet.com (together, the "Service"), provided by ONIQ TECHNOLOGIES LTD ("Oniq", "we", "us", "our"), a company registered in England and Wales (company number 17335074), registered office 128 City Road, London, EC1V 2NX, United Kingdom.
By downloading, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service is non-custodial software
Oniq Wallet is non-custodial wallet software. This means:
- We provide software only. We do not provide banking, custody, exchange, brokerage, money transmission, or financial services.
- Your private keys, seed/recovery phrase, and passwords are generated and stored solely on your device and are under your exclusive control.
- We never hold, store, transmit, or have access to your keys or your digital assets. We cannot access, move, freeze, recover, or reverse your assets or transactions.
- You are the sole custodian of your assets and are solely responsible for them at all times.
2. Eligibility
You must be at least 18 years old and legally able to enter into these Terms. You must not use the Service where doing so is prohibited by applicable law.
3. Your responsibilities and security
You are solely responsible for:
- safeguarding your seed/recovery phrase, private keys, password, and device. Anyone with your seed phrase can control your assets;
- backing up your recovery phrase. If you lose it, your wallet and assets cannot be recovered by us or by anyone else;
- verifying all transaction details (recipient address, amount, network, and fees) before confirming. Blockchain transactions are irreversible;
- ensuring your use of the Service complies with the laws that apply to you.
4. No financial, investment, legal, or tax advice
The Service and any content we provide are for informational purposes only and do not constitute financial, investment, legal, accounting, or tax advice. You are responsible for your own decisions and should seek independent professional advice where appropriate.
5. Risks of digital assets
You acknowledge and accept that using digital assets involves significant risk, including but not limited to:
- extreme price volatility and possible total loss of value;
- the irreversible and final nature of blockchain transactions;
- technical risks such as software bugs, network failures, forks, and smart-contract vulnerabilities;
- evolving and uncertain legal and regulatory treatment of digital assets;
- loss of access to assets due to lost keys or compromised devices.
6. Third-party services and blockchains
The Service may allow you to interact with public blockchains, decentralised applications, node/RPC providers, and other third-party services that we do not own or control. We are not responsible for such third-party networks or services, their availability, security, or content, or for any loss arising from your use of them.
7. Prohibited use
You agree not to use the Service:
- for any unlawful, fraudulent, or malicious purpose;
- to facilitate money laundering, terrorist financing, sanctions evasion, or any other criminal activity;
- in violation of any applicable law, regulation, or sanctions regime;
- to infringe the rights of others or to interfere with or compromise the security or integrity of the Service.
8. Intellectual property
The Service, including its software, design, trademarks, and content (excluding your own data and public blockchain data), is owned by or licensed to ONIQ TECHNOLOGIES LTD and is protected by applicable laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for its intended purpose, subject to these Terms.
9. No warranty
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, or that it will meet your requirements.
10. Limitation of liability
To the fullest extent permitted by law, ONIQ TECHNOLOGIES LTD and its directors, officers, and employees shall not be liable for any loss of digital assets, loss of profits, loss of data, or any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of (or inability to use) the Service, including any loss resulting from lost keys or seed phrases, unauthorised access to your device, user error, or third-party services or blockchains.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
11. Indemnity
You agree to indemnify and hold harmless ONIQ TECHNOLOGIES LTD from any claims, losses, liabilities, and expenses arising out of your use of the Service or your breach of these Terms or of applicable law.
12. Changes to the Service and to these Terms
We may modify, suspend, or discontinue all or part of the Service at any time. We may also update these Terms from time to time; the "Last updated" date shows when they were last revised. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
13. Termination
You may stop using the Service at any time. Because the Service is non-custodial, you retain control of your assets through your seed phrase regardless of whether you continue to use the Oniq Wallet application.
14. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales shall have jurisdiction over any dispute arising out of or in connection with these Terms, subject to any mandatory consumer protection rights available to you in your place of residence.
